TERMS AND CONDITIONS OF SALE

1. These Terms and Conditions apply to all purchases from “Seller” (as defined below) of books and/or other products published or distributed by Macmillan Publishing Group, LLC, Bedford, Freeman & Worth Publishing Group, LLC, Hayden-McNeil, LLC, Holtzbrinck Publishing Holdings Limited Partnership, or Holtzbrinck Publishers,  LLC, including its MPS division ( each a “Seller” and collectively, ”Sellers”) on their own behalves or on behalf  of their  distribution clients (“Clients”).  The intellectual property rights in any software included in any digital media that is part of the order are licensed, not sold, in accordance with the applicable license agreement.  Any Products distributed on rental terms are rented, not sold, to Purchaser.
2. The agreement (the “Agreement”) between the person or legal entity purchasing the Products (“Purchaser”) and Seller relating to the Products includes: (a) these Terms and Conditions, as they may be updated from time to time; (b) the applicable discount or price terms of the particular Seller(s) or Client(s); (c) where applicable, the credit terms of the MPS division of Holtzbrinck Publishers, LLC (“MPS”); (d) if the sale is made on a returnable basis, the applicable return policy(ies) of the Seller(s) ((a)-(d), collectively, the “Purchase Terms”); (e) any applicable terms in any written agreement between any Seller and Purchaser signed by an officer of any Seller; and (f) any applicable agreement posted on a Seller or Client website agreed to by Purchaser.  In the event of any conflict, the terms of any agreement specified in (e) or (f) prevail over the Purchase Terms.  Purchaser acknowledges that any applicable  discount/price terms, credit terms and returns policies are available upon request and confirms that Purchaser has either reviewed them or waived its right to review them and has agreed to them.  If not already paid, Purchaser agrees to pay to Seller the applicable price pursuant to the Agreement, together with any taxes levied on either Purchaser or Sellers in connection with the transaction, in accordance with the applicable credit terms.
3. Sellers’ acceptance of Purchaser’s order of the Products is expressly conditioned on Purchaser’s acceptance of the Agreement. Purchaser’s acceptance of any of the Products constitutes its acceptance of the Agreement, including but not limited to any updates to these Terms and Conditions. The Agreement may not be modified, canceled, amended or waived except in writing signed by an officer of Seller.  Any contrary or additional terms contained in any purchase order or other document not so signed are not binding on Seller.
4. Orders are subject to acceptance by Sellers and availability of the Products ordered. Sellers reserve the right to accept only part of an order.  Sellers will not be deemed to have accepted any order or part thereof  until shipment.  Risk of loss passes to Purchaser upon tender of delivery to Purchaser  or, if Purchaser is responsible for any portion of the shipment, to Purchaser’s carrier.
5. Purchaser represents and warrants that it is eligible for the discount(s), if any, applied to the purchase and agrees that it will promptly notify MPS of any error in any such discount(s). Purchaser will promptly pay MPS any additional amounts due if the net amount it paid is lower than the lowest net amount payable applicable under the Agreement to the transaction. If any price(s) paid by Purchaser are applicable only to purchases outside the US, Purchaser will promptly pay MPS the difference, if any, between the US price and such non-US price for all Products purchased at such non-US price and then re-sold in the US or for import into the US.  These Terms and Conditions and the suggested retail prices, discount terms, promotional allowance policies, returns policies and other Purchase Terms are subject to change by Sellers without notice.  Any promotional allowances offered by Sellers are subject to all the terms and conditions of the applicable promotional allowance (“co-op”) policy of the particular Seller(s) or Client(s).
6. Except for sales made on a non-returnable basis, Purchaser may return Products purchased for resale, at Purchaser’s sole risk and expense, for MPS credit only, in accordance with the applicable returns policies of the particular Seller(s) as amended from time to time. Sellers reserve the right, without issuing any credit, to retain or destroy returns sent to the wrong address or attempted  returns not in accordance with the applicable returns policies or to send such returns back to Purchaser at Purchaser’s     Purchaser  may call MPS Customer Service for a copy of the returns policy of any of the Sellers.  The right of return may be exercised only by Purchaser and is not transferable.  Only Products purchased by Purchaser directly from Sellers may be returned. No credit will be issued for returned complimentary copies or complimentary editions.  Products returned must be unmarked and in saleable condition.  The applicable returns policies will state the applicable deadlines for returns; Sellers reserve the right to issue a call-in notice setting an earlier deadline for returns of any Products or categories of Products.  Purchaser agrees that the right of  return is being offered by Sellers solely for Purchaser’s benefit and that Sellers’ acceptance of any returned Products is not for  the benefit of Sellers.  Purchaser further agrees that the value to Sellers of any Products returned can in  no event exceed the paper, printing and binding cost (or per-copy manufacturing cost in the case of non-book Products) of additional copies of the same Product less Sellers’ return processing costs and that the Products will  have no value if, in Sellers’ judgment, there is no market for resale of such Products by Sellers within a reasonable time after their return.
7. The price for the Products is exclusive of all sales, use, value added, goods and services, withholding, or excise taxes or other similar taxes in connection with the transaction levied on either Purchaser or Sellers by any federal, state, local, provincial, or other US or foreign government authority. Sellers shall have no liability for any tax required to be billed, collected, and/or remitted by either party as a result of sales or importation of the Products by Purchaser except for taxes based on Sellers’ net income. Purchaser shall indemnify and hold harmless Sellers against all losses, penalties, interest and expense (including reasonable attorneys’ fees and disbursements) arising out of  any claims relating to such liability for taxes.   If  Purchaser is purchasing the Products for resale, Purchaser will, on request, provide MPS with a valid resale certificate stating that purchases are for resale and listing Purchaser’s sales tax registration  number for each state into which the Products will  be delivered. If Purchaser is purchasing the Products for its own use and claims a tax exemption, Purchaser will provide Sellers with a valid exemption certificate.
8. Purchaser is free to charge any prices it chooses for Products purchased for resale.  Purchaser will not resell any Product outside the territory designated by Sellers as the authorized territory for such Product or for export outside such territory and will not resell or otherwise transfer any Product to any person or entity in contravention of US export controls or sanctions or otherwise contrary to US law.
9. All payments are to be made to MPS. Purchaser agrees to pay all amounts due on or before the due date.  By ordering and accepting delivery of the Products, Purchaser represents to Sellers that Purchaser is solvent and will make payment in full when due in accordance with the Agreement.  Purchaser will be responsible for all attorneys’ fees and other expenses incurred by Sellers to collect any amounts past due and for interest on amounts past due at a rate equal to the maximum rate allowable under applicable law.  MPS retains the option to accelerate the entire indebtedness of  Purchaser’s account if  Purchaser is late in making any payment to MPS.
10. THE PRODUCTS ARE SOLD OR RENTED ON AN “AS IS” BASIS WITHOUT ANY WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. Sellers  make no representations as to their dealings with any of their other customers. Under no circumstances will Sellers be liable for any consequential, incidental, indirect, punitive, or special damages or lost profits arising under the Agreement or in connection with the Products or this transaction, regardless of whether such liability is based  on breach of contract, breach of warranty, tort, strict liability, failure of essential  purpose or otherwise, even if Sellers are advised  of the possibility of  such damages.  Neither Sellers nor Purchaser will be in default of  their obligations to the other party (other than an obligation to pay monies when due) if performance is delayed or made impracticable by any cause beyond its reasonable control.
11. The Agreement, and the rights and liabilities of Sellers and Purchaser with respect to the Agreement and its subject matter, shall  be governed  by the laws of the State of New York, without reference to the principles of conflicts of  laws thereof .  Sellers do not consent to arbitration  or mediation  of any dispute arising out of or relating to the Agreement or its subject matter.  Sellers and Purchaser waive trial by jury in connection with any dispute with respect to the Agreement or the purchase of the Products.
